Terms and Conditions

Article 1: Definitions in this General

Conditions are understood under:
1. Registration: registering Visitor on www.Bold-tickets.nl to visit Bold Optical Fair and Bold Sun Edition.
2. Terms and Conditions: the General Conditions Bold Optical Fair events – visitors.
3. Service: the possibility of attending / following physical and / or digital events (including Bold Optical Fair and Bold Sun Edition) and meetings (including seminars), whether or not for a fee.
4. Visitor: natural person, legal entity, visiting Bold Optical Fair.
5. Bold: Bold Optical Fair is part of Walterr Eyewear and will be mentioned below as Bold.
6. Agreement: agreement between Bold and Visitor.
7. Portal: website of Bold Optical Fair (www.Bold-tickets.nl) where Visitors can sign up for entrance tickets free of charge to visit the Bold Optiekbeurs, also it is possible via www.bold-tickets.nl a hotel overnight stay to books.
8. Website: www.bold-tickets.nl, www.bold-opticalfair.nl and www.bold-sunedition.nl.

Article 2: Applicability

1. These General Terms and Conditions apply to all agreements that Bold concludes with regard to the service.
2. Any deviations from these General Terms and Conditions are only valid if expressly agreed in writing.
3. The applicability of any purchase conditions or other conditions of a counterparty is explicitly rejected.
4. If one or more provisions in these General Terms and Conditions are null and void or become void, the other provisions of these General Conditions remain fully applicable. Bold and the other party will then enter into consultation in order to make new provisions
replace the null and void or nullified provisions to be agreed, whereby if and as much as possible the purpose and intent of the original provision are taken into account.

Article 3: Establishment of the agreement

1. The agreement with the Visitor is established after Bold has accepted the Visitor’s registration. Acceptance by Bold is standard per e-mail, unless the Visitor does not have an e-mail address. In that case the written acceptance takes place by mail or fax.
2. If the agreement is concluded electronically, Visitor is responsible for the storage and printing of the General Terms and Conditions and the agreement and for the accessibility of the stored copy. Bold is not obliged to archived any agreement to be accessible to visitors.

Article 4: Duration of the agreement

1. The agreement ends by operation of law after visiting / following or participating in the (digital) event / meeting.

Article 5: Payment

1. Visitor does not owe entrance costs for visiting or participating in a Bold event or meeting, unless otherwise stated agreed or announced.
2. If there are costs (Hotel arrangement) a payment term of 30 days after the invoice date applies to an account designated by Bold, unless otherwise agreed in writing.
3. 6% VAT is applicable to the amount owed by the Hotel reservation for visitors in the Netherlands. As of 1 January 2019 this will be legally adjusted to 9%. If you provide a legal VAT-number the obligation of VAT will pass.

Article 6: Cancellation

1. Visitors who have booked a Hotel room must cancel their booking via info@bold-opticalfair.nl. The cancellation becomes confirmed by Bold by e-mail. No confirmation is no cancellation.
2. For hotel reservations for which a payment is due, the following applies. In case of cancellation from five weeks before the start of the reserved dates, the participant owes the full amount, there is no refund possible. To determine the moment of cancellation, the date of receipt of the cancellation notice is decisive.
5. If Visitor is not able to attend the event / meeting himself, Visitor is authorized to have a replacement participated in the event / meeting and the reservation of the Hotel. The Visitor must pass on any changes in a timely manner.
6. Bold reserves the right, in case of insufficient participation, to cancel the event / meeting up to five working days before the scheduled event date for the event / meeting without Bold being obliged to pay any compensation. Visitor or the replacement will receive notice of this as soon as possible. If possible, Visitor will be offered a suitable alternative.

Article 7: Force majeure

1. Bold has the right to suspend the fulfillment of its obligations if it is temporarily prevented from fulfilling its obligations due to circumstances that could not be expected at the conclusion of the agreement and that are beyond its control. In these circumstances, among other things, the circumstance that Bold contractors do not fulfill their obligations, the weather, fire, loss or Article 7: Force majeure

1. Bold has the right to suspend the fulfillment of its obligations if it is temporarily prevented from fulfilling its obligations due to circumstances that could not be expected at the conclusion of the agreement and that are beyond its control. In these circumstances, the circumstances include the fact that Bold contractors do not fulfill their obligations, the weather, fire, loss or theft of materials to be used, roadblocks, strikes or work interruptions, illness or prevention of teachers.
2. Bold is no longer authorized to suspend if the temporary inability to perform has lasted for more than six months. The agreement can only be terminated after this period has expired and only for that part of the obligations that have not yet been fulfilled.
In that case, the parties are not entitled to compensation for the damage suffered or to be suffered as a result of the dissolution.

Article 8: (Personal) data

1. In the context of the use and execution of the Service, Bold will possibly process (personal) data. The processing of personal data takes place in accordance with the applicable privacy legislation. Visitor is responsible for the correctness and completeness of the (personal) data provided by him / her.

Article 9: Intellectual property and copyrights

1. Image and / or sound recordings of the event and visitors may be made. These image and / or sound recordings can be made public and reproduced. The Visitor unconditionally authorizes the aforementioned recordings and exploits thereof without the organization or third parties owing or will owe a fee to the Visitor. The Visitor will transfer any associated and / or copyright and / or portrait rights to this organization without any restriction. Furthermore, the Visitor irrevocably waives the right to invoke his / her personality rights.
2. The copyrights, which rest on the visual and / or sound material in the context of the (digital) event / meeting are held by Bold or third parties. In no way are the intellectual property rights, including the copyrights transferred to Visitor.

Article 10: Special Provisions

1. The Visitor is not permitted to advertise / distribute (including fly) his / her own company or other companies during the relevant event / meeting, which do not participate in the relevant event / meeting.
2. Visitors must also follow instructions from employees of Bold in the context of the event / meeting.
3. Failure to follow the instructions above may lead to removal of the event / meeting.

Article 11: Liability

1. Although the event / meeting, or the information and / or (work) materials provided in that context, has been compiled with the utmost care, Bold does not accept any liability for damage of any kind, which is the direct or indirect consequence of actions and / or decisions, which are (partly) based on the information provided from and / or (work) material of the event / meeting.
2. Bold is not liable for indirect damage, consequential loss, lost profit, missed savings, reduced goodwill and loss due to business stagnation.
3. Bold accepts no liability for direct damage unless the other party can demonstrate that there is intent or gross negligence on the part of Bold.
4. In so far as Bold is liable for any direct damage, this liability is limited to a maximum of the amount covered by its insurance.
5. Bold is in no way liable for loss or theft of property of the other party at the event / meeting.
6. Bold is in no way liable for bodily injury and other damage resulting from the actions or omissions of others than Bold or caused by goods or materials from the location holder or the caterer. For the damage mentioned, Bold is only liable if its intent or gross negligence can be blamed.

Article 12: Judge

1. All disputes arising from these General Terms and Conditions or related agreements shall exclusively be submitted to a competent court.
2. The parties will appeal to the courts after they have done their utmost to agree a dispute by mutual agreement.
3. Dutch law applies to this agreement. These Terms and Conditions Bold events / meetings – visitors apply with effect from November 14, 2018.
